Terms of Service

Scope

This English version is provided for convenience. If it differs from the Vietnamese version, the Vietnamese version prevails.

These Terms ("Terms") govern your access to and use of the website 3ktechone.com of 3K TECHONE COMPANY LIMITED (CÔNG TY TNHH 3K TECHONE) ("3K TechOne" or "we").

We provide software development services only once both parties sign a contract. The rights and obligations of both parties in a project are governed by that contract.

The content on this page about process, payment, intellectual property, and warranty only describes how we usually work, for your reference. It is not an offer to enter into a contract. If the project contract provides otherwise, the contract prevails.

Use of the website

  • The content, logos, and images on the website belong to 3K TechOne or its licensors. You may not copy them for commercial purposes without our written consent.
  • You may not attack, scan for vulnerabilities in, or interfere without authorization with the website, and you may not send unlawful content, malware, or spam through the form.
  • Personal data you send through the website is processed in accordance with the Privacy Policy.

The specific scope of work, timeline, and costs are set out in the contract or separate agreement for each project.

Project process

  • Consultation: The first consultation is free and comes with no commitment. We discuss your requirements, then send a quote with an estimated timeline. The quote is valid for the period stated on it.
  • Contract: Once both parties agree, we sign a contract covering the scope of work, timeline and milestones, costs and payment terms, intellectual property and confidentiality, and warranty and support.
  • Execution: We work in sprints, hold regular demos, and take feedback continuously so the product meets your requirements.

Payment

We accept payment by bank transfer, including international bank transfers for foreign clients.

Payment is usually split by project milestones, for example at contract signing, on completion of the development phase, and at acceptance. The percentage of each installment, payment deadlines, late payment interest, and suspension of work for late payment are governed by each project's contract.

Intellectual property

  • Project source code: Intellectual property rights in the source code and deliverables made specifically for the project are transferred to you under the contract, usually after you have paid in full.
  • Libraries and frameworks: Open-source libraries and third-party tools remain the property of their original authors and are subject to their respective licenses.
  • 3K TechOne assets: Internal tools, templates, and base code developed before or independently of your project remain the property of 3K TechOne.

Confidentiality

Both parties undertake to keep confidential all technical and business information of the other party during the cooperation. This obligation remains in effect after the contract ends. At your request, we can sign a separate non-disclosure agreement (NDA) before the project starts.

If the project requires processing personal data that you control, both parties will sign a personal data processing agreement under the Law on Personal Data Protection No. 91/2025/QH15 before you hand over the data.

Warranty

The scope and duration of the warranty are governed by each project's contract. We usually provide a free warranty for a period after delivery, which covers fixing defects against the agreed technical description.

Limitation of liability

The limitation of each party's liability in a project is governed by the contract.

Regarding use of the website: the content on the website is for general information only. We try to keep information accurate but do not guarantee that the content is always complete or up to date. We are not responsible for the content of linked third-party websites. These limitations do not apply where the law does not permit limitation of liability.

Client responsibilities

  • Provide the necessary information and documents completely and on time.
  • Appoint a representative with decision-making authority for the project.
  • Give feedback on and accept work items within the agreed time limits.
  • Pay on time.
  • Provide a development or testing environment when needed.

Termination of the contract

Either party may terminate the contract under the conditions set out in the contract. When the contract is terminated, you pay for the work completed up to the time of termination. We deliver the source code and documentation corresponding to the work that has been paid for.

We have the right to terminate or refuse to perform work in the cases set out in the contract, or when the requested work is unlawful.

Dispute resolution

  • Disputes about a project contract: resolved under the mechanism set out in the contract.
  • Disputes about use of the website: resolved first through negotiation. If negotiation fails, the dispute is resolved at a competent court of Vietnam.

General provisions

These Terms are governed by the laws of Vietnam.

These Terms are not part of a project contract unless the contract expressly refers to them. If the project contract provides otherwise, the contract prevails.

We may update the Terms. A new version takes effect from the date stated below and does not change contracts already signed.

The website is available in Vietnamese, English, Japanese, and Chinese. In case of any difference, the Vietnamese version prevails.

If any provision is held invalid, the remaining provisions remain in effect.
